Summary: (a) Companies Ordinance (XLVII of 1984)----S. 10:
Winding up of company---Sale of property by liquidator---Non-fulfillment of payment terms by purchaser---Litigation regarding payment obligations.
The petitioner submitted an offer to purchase property from the liquidated company (respondent No.1) but failed to make the second installment payment within the stipulated time. The Company Judge directed forfeiture of the initial payment and rejection of the offer, which was set aside on appeal and remanded. The petitioner was subsequently given additional time to pay but failed to comply. The Company Judge ultimately dismissed the petitioner’s applications and ordered payment of the outstanding balance within two weeks, failing which the liquidator was directed to take over the property.
(b) Constitution of Pakistan (1973)----Art. 185(3):
Maintainability of appeal---Jurisdiction of appellate forums in matters arising from company proceedings.
The petitioner challenged the Company Judge’s decision through an Intra-Court Appeal, which was dismissed by the Division Bench of the Sindh High Court on the ground that such an appeal was not maintainable. The High Court held that the appeal against the Company Judge's order should have been filed directly with the Supreme Court under Art. 185(3) of the Constitution.
(c) Appeals under company law---Scope and jurisdiction:
The Supreme Court granted leave to appeal to address the issue of whether the petitioner’s appeal before the Division Bench was competent. The matter was linked to previously granted leave in related cases (Muhammad Bux v. Pakistan Industrial Credit Investment Corporation Limited 1999 SCMR 25; Industrial Development Bank of Pakistan v. Messrs Valibhai Kamaruddin 2002 SCMR 415) that involved similar jurisdictional questions.

Leave to appeal granted. The matter will be heard along with related civil appeals.
